Abstract

GMS is an abbreviation of General Meeting of Shareholders. GMS is a forum held by companies to bring together shareholders and discuss various issues related to the company. The GMS is usually chaired by the company's board of directors and the shareholders by the shareholders, either directly or through an authorized representative or attorney. The results of decisions taken at the GMS will be recorded in the minutes of the GMS which will serve as evidence and guidelines for the implementation of the decision. In the context of implementing the GMS through teleconference media, the role of the Notary and the validity of the deed of the GMS remain relevant. Notaries can play an important role in verifying the identity of GMS participants who participate via teleconference. Notaries can ask participants to submit official documents and verify online to ensure that their attendance and participation are valid. The validity of the GMS deed through teleconference media still depends on compliance with applicable regulations. This research method uses normative law with a focus on the analysis of legal documents, such as laws and regulations, court decisions, legal doctrine, and other legal literature. The results in this study are that the role of the Notary and the validity of the deed of the GMS conducted via teleconference means that the role of the Notary is very important in ensuring the validity and enforceability of the deed of the GMS conducted via teleconference. The notary is responsible for verifying the identity of participating GMS participants via teleconference, as well as ensuring the security and integrity of the GMS.
